Please read these Terms & Conditions carefully before engaging with re-patterned's services. By using our services or entering into an agreement with us, you confirm that you have read, understood, and agree to be bound by the following terms. If you do not agree, please do not use our services.

1. About Us
re-patterned is a creative services agency based in California, USA. These Terms govern the relationship between re-patterned and any individual or entity ("Client" or "you") that engages with our services.

2. User Accounts & Eligibility
2.1 Eligibility
To engage with re-patterned's services, you must:
- Be at least 18 years of age
- Have the legal authority to enter into a binding agreement
- Be acting on your own behalf or as an authorized representative of a business or organization
2.2 Account Registration
Certain services may require you to create an account or client profile. You agree to:
- Provide accurate, current, and complete information when registering or submitting project details
- Keep your account credentials confidential and not share them with any third party
- Notify us immediately if you suspect unauthorized access to your account
re-patterned reserves the right to suspend or terminate accounts that contain inaccurate information or that we reasonably believe have been compromised.
2.3 Business Use
Our services are intended primarily for business and professional use. If you are accessing services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

3. Payments & Refunds
3.1 Fees & Invoicing
All fees for services will be outlined in a project proposal, statement of work, or invoice provided by re-patterned. By approving a proposal or signing an agreement, you agree to pay the fees specified therein.
- Invoices are due upon receipt unless otherwise stated in your project agreement
- Payments must be made via the methods specified in your invoice (e.g., bank transfer, credit card, or other agreed-upon methods)
- All amounts are listed in US Dollars (USD) unless otherwise agreed in writing
3.2 Late Payments
If payment is not received by the due date, re-patterned reserves the right to:
- Pause or suspend work on your project until payment is received
- Charge a late fee of [X]% per month on outstanding balances (update as applicable)
- Refer overdue accounts to a collections agency after [X] days of non-payment
3.3 Deposits
Many projects require a non-refundable deposit prior to commencement of work. The deposit amount and terms will be specified in your project agreement. Work will not begin until the deposit has been received.
3.4 Refunds
Due to the custom and time-intensive nature of our services, re-patterned operates under the following refund policy:
- Deposits are non-refundable once work has commenced
- If a project is cancelled by the Client after work has begun, you will be billed for all work completed up to the date of cancellation
- If re-patterned is unable to deliver agreed-upon services due to circumstances within our control, we will work with you in good faith to provide a suitable remedy, which may include a partial refund or credit toward future services
Refund requests must be submitted in writing to [your contact email]. We will review and respond within 10 business days.

4. Intellectual Property
4.1 Ownership of Deliverables
Upon receipt of full payment, re-patterned grants the Client a license (or, if specified in writing, full ownership) to use the deliverables created under the project agreement. The specific ownership terms will be outlined in your project contract. In the absence of a written transfer of ownership, re-patterned retains all rights to deliverables.
4.2 re-patterned's Pre-Existing IP
Any tools, methodologies, frameworks, templates, or processes used by re-patterned in the delivery of services remain the sole property of re-patterned. These are not transferred to the Client under any circumstances.
4.3 Client Materials
You retain ownership of all materials, content, data, and assets you provide to re-patterned for use in your project ("Client Materials"). By providing Client Materials, you grant re-patterned a limited, non-exclusive license to use them solely for the purpose of delivering your project.
You represent and warrant that you have the right to provide all Client Materials and that their use by re-patterned will not infringe on any third-party intellectual property rights.
4.4 Portfolio Rights
Unless you request otherwise in writing, re-patterned reserves the right to display completed work in our portfolio, website, and marketing materials for promotional purposes.

5. Limitation of Liability
5.1 Disclaimer of Warranties
re-patterned provides services on an "as-is" and "as-available" basis. While we strive for quality in all our work, we make no warranties — express or implied — regarding the fitness of deliverables for any particular purpose, or that results will meet specific business objectives.
5.2 Limitation of Damages
To the fullest extent permitted by California law, re-patterned's total liability to you for any claim arising out of or related to these Terms or the services provided shall not exceed the total amount paid by you to re-patterned in the three (3) months preceding the claim.
In no event shall re-patterned be liable for:
- Indirect, incidental, special, or consequential damages
- Loss of profits, revenue, data, or business opportunities
- Damages arising from your reliance on third-party services or tools recommended or used during your project
5.3 Indemnification
You agree to indemnify and hold harmless re-patterned, its employees, contractors, and agents from any claims, damages, or expenses (including legal fees) arising from your breach of these Terms, your use of our deliverables, or your violation of any third-party rights.

6. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in California.

7. Changes to These Terms
re-patterned reserves the right to update or modify these Terms at any time. When changes are made, we will update the effective date at the top of this page. Continued engagement with our services after changes have been posted constitutes acceptance of the revised Terms.
